Terms of Service

These Terms of Service ("Terms") govern your access to and use of ReconDocs. By creating an account or using the service, you agree to these Terms. If you are using ReconDocs on behalf of an organization, you confirm you have authority to bind that organization.

1. What ReconDocs does

ReconDocs is an AI-assisted tool that compares international trade documents (such as commercial invoices, packing lists, bills of lading and letters of credit) and reports discrepancies and matches it detects. ReconDocs acts as a "second set of eyes" / error-spotting aid.

2. Important limitation — no professional advice; you remain responsible

• ReconDocs is automation software that provides informational reference output only. Its reports do not constitute legal, banking, customs, freight-forwarding, tax or other professional advice.
• We do not guarantee that the service will detect every discrepancy, that output will be error-free, or that any document will be accepted by a bank, customs authority, carrier or counterparty. Automated extraction and comparison may misread, miss or misclassify information.
• You are solely responsible for reviewing every document and report, and for all decisions to ship, present, negotiate or submit documents. Your use of ReconDocs does not transfer or reduce your professional responsibilities or those of your business.

3. Acceptable use

You agree not to:

• Use the service for any unlawful purpose or in violation of applicable trade, sanctions or export-control laws;
• Upload documents you do not have the right to process;
• Reverse engineer, scrape, disrupt, overload or attempt to gain unauthorized access to the service;
• Resell, sublicense or provide the service to third parties except as expressly agreed;
• Upload malware or attempt to compromise the service.

You are responsible for ensuring that any personal data in uploaded documents is provided in compliance with applicable law.

4. Your content & data handling

You retain ownership of the documents and content you upload. You grant us only the limited rights necessary to process them to provide the service. Uploaded source documents are automatically deleted within 24 hours of processing, and are not used to train AI models. See our Privacy Policy for full details.

5. Intellectual property

ReconDocs, including its software, design, rule engine and branding, is owned by Yibo Xu and protected by intellectual-property laws. We do not claim ownership of your documents. These Terms do not grant you any right to our trademarks or branding.

References to rules such as UCP 600 / ISBP are provided for identification and informational purposes only; all rights in such publications belong to their respective owners.

6. Subscription, fees and payment

• The service is offered on a subscription, currently USD $29 per month, billed by our Merchant of Record, Creem.
• Fees are payable in advance and renew automatically until cancelled. Applicable taxes are handled by the Merchant of Record.
• We may change subscription fees with reasonable prior notice; changes take effect on your next billing period after notice.
• Refunds are governed by our Refund Policy.

7. Cancellation and account termination

You may cancel at any time; access continues until the end of the current paid period. We may suspend or terminate access if you breach these Terms or use the service in a way that creates risk or legal exposure. Upon termination, your legal rights and obligations that by their nature should survive will continue.

8. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, accuracy and non-infringement. We do not warrant uninterrupted or error-free operation.

9. Limitation of liability

To the maximum extent permitted by law, in no event shall ReconDocs or Yibo Xu be liable for any indirect, incidental, consequential, special or punitive damages, or for any lost profits, lost revenue, rejected documents, banking discrepancies, customs penalties, shipment delays or business interruption, arising out of or related to the service.

Our total aggregate liability for any claim relating to the service shall not exceed the amount you paid to use ReconDocs in the twelve (12) months preceding the event giving rise to the claim (or, for free use, USD $0).

10. Third-party services

The service relies on third-party providers (AI processing, hosting, payment). We are not responsible for third-party services outside our control. Payments and tax handling are performed by our Merchant of Record, Creem, under its own terms.

11. Indemnification

You agree to indemnify us against claims arising from your breach of these Terms, your unlawful use of the service, or documents you upload, to the extent permitted by applicable law.

12. Changes to these Terms

We may update these Terms; material changes will be posted with an updated effective date. Continued use after changes constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, USA, unless otherwise required by mandatory law.
